These terms represent a legally binding agreement between your corporate entity (representing a licensed pharmacy, hospital unit, clinical distributor, or chemical procurement unit) and Narvs Pharma. If you do not agree with any part of these terms, please do not use our B2B services, submit bulk sourcing inquiries, or interact with our sales department.

2. Description of Wholesale Services

Narvs Pharma operates as a verified premium WHO-GMP wholesale pharmaceutical distributor, trader, and supply chain partner registered under CIN **U74900DL2015PTC277334** in New Delhi, India. Our services encompass:

• Wholesale trading and sourcing of clinical-grade tablets, capsules, health supplies, calcium formulas, and cosmetic creams (including proprietary products such as Misti XT, Bonrav, Panrav D, and Melarv).
• Strategic distribution coordination for medical agencies, pharmacies, and corporate hospitals.
• B2B contract manufacturing, chemical sourcing consulting, and formulation procurement assistance.

We reserve the complete right to update, modify, suspend, or terminate product specifications, therapeutic list availability, batch packaging dimensions, or distribution rates at our sole discretion, in compliance with federal guidelines and manufacturing schedules.

3. Mandatory Drug Licensing & Audits

To place procurement quotes or secure supply arrangements, you must submit complete and accurate regulatory credentials. You warrant that all documentation provided to our sales audit team is current, authentic, and complies fully with the standards of the respective State Drug Controller. Sourcing operations will be suspended instantly if a client provides expired, false, or unverified drug credentials.

4. Sourcing & Usage Limitations

You agree to use our commercial platform, trade listings, and product inventory strictly in compliance with all applicable Indian healthcare legislations and state laws. Sourced pharmaceutical goods are strictly intended for clinical redistribution, licensed dispensing, hospital allocation, or wholesale pharmacy networks. You explicitly covenant that no products procured from Narvs Pharma will be resold, sub-licensed, or exported in breach of the safety mandates established by the Central Drugs Standard Control Organization (CDSCO).

5. Sourcing Quotes & Payments

All wholesale pricing, custom bulk quotes, formulation rates, and logistical freight costings are calculated dynamically based on raw active pharmaceutical ingredient (API) index values, transport regulations, and total batch quantities. Sourcing quotes are valid only for the duration specified in the official proforma invoice issued by our corporate office.

Payments must be cleared via secure bank wire drafts, RTGS, NEFT, or authorized business banking paths as detailed in the commercial billing documents. All payments are strictly **non-refundable** once a batch allocation has cleared our quality assurance tests and left our WHO-GMP packaging warehouses, except where specifically written under a batch recall policy.

Nothing within these terms grants you any right, title, or interest to copy, replicate, reformulate, or sub-license our clinical formulations, trademarks, or digital coding without prior written consent from our Board of Directors.

8. Confidentiality & Sourcing Secrets

Any technical data, commercial rates, batch quote discounts, chemical composition reports, and procurement volumes exchanged between your organization and Narvs Pharma are classified as **Confidential Trade Secrets**. Both parties agree to protect these details from public disclosure or competitor exposure, unless required under subpoena by a court of competent jurisdiction or during standard federal drug audits.

9. Trade Termination & Regulatory Suspension

Narvs Pharma reserves the absolute right to cancel active bulk shipments, terminate trade agreements, and black-list procurement entities immediately, without prior notification or legal liability, in the event of:

• Any violation of these Terms & Conditions or associated federal healthcare regulations.
• Failure to maintain active and valid Form 20 or Form 21 Drug Licenses as mandated under the Drugs and Cosmetics Rules.
• Financial insolvency, bankrupt state status, or non-payment of transactional dues.
• Legal compliance failures flagged during state drug control inspections.

10. Revisions to Terms & MCA Audits

As a verified corporation subject to RoC-Delhi audits and regulated under the Ministry of Corporate Affairs, India (MCA), we may update these Terms & Conditions periodically to align with legislative developments, drug price control order (DPCO) updates, or corporate restructuring.

Revisions are uploaded directly to our public portal. Continued use of our wholesale B2B distribution services after such updates constitutes complete acceptance of the updated terms. It remains the client's commercial responsibility to review these terms periodically.

11. Governing Law & Exclusive Jurisdiction

These Terms and Conditions, transactional operations, and any trade disputes arising out of wholesale medicine distribution arrangements shall be governed by, and construed in accordance with, the laws of the **Republic of India**.

Both parties explicitly agree that any legal suits, arbitration proceedings, or judicial disputes shall be subject to the exclusive jurisdiction of the competent courts of **New Delhi, India**.
